The 1031 Exchange 45-Day Rule, Explained

The 45-day rule is the tightest constraint in a 1031 exchange. Miss it and the exchange fails, converting the sale into a fully taxable event. Investors who understand the mechanics before listing the relinquished property have the flexibility the rule takes away from those who wait.

What the 45 days actually cover

The clock starts on the closing date of the relinquished property. The investor has 45 calendar days to deliver a written identification of replacement candidates to the qualified intermediary. Weekends and holidays do not extend the deadline.

The identification must be unambiguous. Street address, legal description, or distinguishing property description are acceptable. A vague reference is not.

The three identification methods

Under the three-property rule, the investor identifies up to three properties without regard to value. This is the most common method and works for most investors.

The 200 percent rule allows identification of any number of properties as long as their combined fair market value does not exceed 200 percent of the relinquished property's value. The 95 percent rule allows any number of properties provided the investor actually acquires at least 95 percent of the total identified value.

What invalidates the identification

Late delivery, verbal-only identification, and ambiguous descriptions all invalidate the identification. So does identifying to the wrong party. The written identification must go to the qualified intermediary or another statutorily allowed party.

Attempting to change the identification after day 45 is not permitted. The investor is locked into the identified list.

How to protect the timeline

Begin the replacement search before the relinquished property closes, ideally the day the listing goes active. A pre-identified short list of two or three candidates, vetted with the lender and inspected on preliminary terms, provides the flexibility the 45-day window otherwise strips away.

Coordinate weekly with the qualified intermediary through the 45-day window. Reset expectations if a candidate falls out of escrow so the identification list still contains a viable property.

Key Takeaways

  • ◆The 45-day clock starts on the closing date of the relinquished property.
  • ◆Written identification must be unambiguous and delivered to the QI.
  • ◆The three-property rule fits most investors; the 200 and 95 percent rules exist for portfolios.
  • ◆Start the replacement search when the listing goes active, not at closing.

Frequently Asked

+Can I change my identified properties after day 45?

No. Once the 45-day window closes, the identified list is fixed. The investor can only close on properties that were identified on time.

+What happens if none of the identified properties close by day 180?

The exchange fails and the sale becomes fully taxable. There are limited federally declared disaster relief extensions, but they are narrow and rare.
